Requirements
* Diploma, Advanced Diploma, Bachelor’s Degree, ICSA/CGQP qualification, or equivalent professional qualification.
* Minimum 1 to 3 years of experience in corporate secretarial practice.
* Familiarity with the Companies Act 2016 and SSM requirements.
* Experience handling a portfolio of private companies.
* Good drafting skills for resolutions, minutes, and statutory documents.
* Strong organisational and time management skills.
* Attention to detail and accuracy.
* Good written and verbal communication skills in English and Mandarin.
* Proficient in Microsoft Office applications.
Responsibilities
Corporate Secretarial Compliance
* Manage a portfolio of private limited companies and ensure compliance with the Companies Act 2016.
* Prepare and lodge statutory documents with the Companies Commission of Malaysia (SSM).
* Ensure timely submission of annual returns and other statutory filings.
* Monitor statutory deadlines and maintain compliance calendars.
Company Incorporation & Corporate Changes
* Handle incorporation of new companies and registration of related entities.
* Prepare resolutions and documentation relating to:
* Appointment and resignation of directors
* Appointment and resignation of company secretaries
* Share allotments and share transfers
* Changes of company information
* Increase or reduction of share capital
* Changes to constitution and corporate structure
* Assist clients with corporate restructuring exercises and compliance matters.
Board Resolutions & Meeting Documentation
* Draft directors’ resolutions, shareholders’ resolutions, and meeting minutes.
* Prepare notices of meetings and related statutory documentation.
* Maintain statutory registers and corporate records.
Client Management
* Serve as a key contact person for assigned clients.
* Provide guidance on corporate secretarial matters and statutory compliance requirements.
* Build and maintain strong professional relationships with clients.
* Coordinate with internal departments and external stakeholders where necessary.
Regulatory Compliance
* Ensure compliance with SSM regulations and relevant legislation.
* Keep abreast of changes in corporate laws and regulatory requirements.
* Assist in implementing compliance and governance best practices.
Documentation & Record Management
* Maintain accurate corporate records and statutory registers.
* Ensure proper filing and safekeeping of company documents.
* Manage corporate secretarial databases and software systems.
Cross-Functional Support
* Work closely with accounting, taxation, payroll, and advisory teams to provide integrated solutions to clients.
* Support management with special projects and ad-hoc assignments.
