Job Description

  • Ensure all statutory filings with ACRA are completed accurately and on time (e.g., annual returns, changes in officers, share capital, registered office, etc.).
  • Oversee and maintain annual compliance with the Companies Act and other relevant regulations.
  • Lead and coordinate the incorporation and registration of new companies, foreign branches, representative offices, and other corporate structures.
  • Prepare, review, and update corporate documents such as company constitutions, registers, minutes, and statutory records.
  • Draft, review, and circulate Directors’ Resolutions and Shareholders’ Resolutions to ensure compliance and timely approvals.
  • Coordinate with and manage external service providers and contractors on annual compliance and statutory obligations, including overseeing quality and timeliness of deliverables.
  • Advise management and business units regarding statutory and regulatory obligations.
  • Stay updated on regulatory changes and recommend required changes to internal processes or documents.
  • Support statutory audits and regulatory inspections as required.
  • Handle ad hoc corporate secretarial duties and special projects as assigned.

Requirements

  • Bachelor’s degree in Law, Business Administration, Corporate Governance, Accounting, or a related field.
  • Minimum 3–5 years of relevant experience in corporate secretarial, legal compliance, or governance functions, preferably within a corporate secretarial firm, listed company, financial institution, or multinational environment.
  • Strong knowledge of the Singapore Companies Act, ACRA filing requirements, and corporate governance practices.
  • Experience handling company incorporations, restructuring exercises, and maintenance of statutory records across multiple entities.
  • Familiar with preparing board resolutions, shareholder resolutions, meeting minutes, and other corporate secretarial documentation.
  • Meticulous, organized, and able to manage multiple deadlines in a fast-paced environment.
  • Strong stakeholder management and communication skills, with the ability to advise business stakeholders on compliance matters.
  • Able to work independently with strong problem-solving and analytical skills.
  • Proficient in Microsoft Office applications and corporate secretarial management systems.
  • Prior experience supporting regional entities or multinational operations will be an advantage.
