Job Description

We are looking for an experienced and commercially minded Head of Legal to lead the Company’s legal function, provide practical legal advice to the Board and Management, and ensure the Company’s business activities comply with applicable laws and regulations.

The ideal candidate should have a strong understanding of how the business operates, particularly in relation to commercial, construction and interior fit-out activities, and be able to provide legal advice from both legal and business perspectives. The role requires someone who can identify legal risks while also considering commercial practicality, business impact and operational requirements when advising Management.

Key Responsibilities

1. Legal & Contract Management

  • Lead the drafting, review, negotiation and finalisation of commercial and corporate agreements, including consultancy agreements, client contracts, subcontractor/supplier agreements, NDAs, collaboration agreements and leases.
  • Advise Management on contractual rights, obligations, liabilities, indemnities, warranties, termination provisions and dispute resolution mechanisms.
  • Identify contractual and commercial risks and recommend appropriate mitigation measures to protect the Company’s interests.
  • Review and advise on performance bonds, retention monies, sureties, liquidated damages and other contractual security arrangements.
  • Ensure contracts comply with applicable laws, regulations and the Company’s policies and requirements.

2. Construction & Project Legal Support

  • Provide legal advice throughout the design and interior fit-out project lifecycle, including tendering, bidding, contract implementation, variations, delays, claims and payment matters.
  • Review and advise on construction-related agreements, including PAM Contracts, subcontract agreements and other project-related contracts.
  • Work closely with Project, Procurement, Commercial and Operations teams to ensure contractual compliance and manage legal risks arising from projects.
  • Advise on contractual issues relating to project performance, delays, variations, claims, payment disputes and other commercial matters.

3. Legal Compliance & Risk Management

  • Ensure the Company on applicable Malaysian laws and regulations, including contract, construction, employment, intellectual property, data protection and other relevant regulatory requirements.
  • Establish and maintain a legal risk register and monitor key legal exposures, providing appropriate mitigation strategies.
  • Monitor changes in legislation and regulatory requirements and advise the Board and Management on their potential impact.
  • Oversee compliance relating to anti-corruption, anti-bribery, competition and other applicable industry requirements.
  • Develop and maintain internal legal policies and guidelines, including contract management, data protection, conflict of interest and other legal compliance matters.
  • Conduct legal awareness and compliance training for employees where required.

4. Corporate Governance & Company Secretarial

  • Provide legal support for Board and Management meetings, including preparation and review of resolutions, corporate records and related documentation.
  • Oversee corporate governance matters, shareholder agreements, corporate policies and statutory compliance.
  • Liaise with the Company Secretary, external legal advisers and other professional service providers on corporate and regulatory matters.
  • Ensure proper maintenance of corporate and statutory records and filings.

5. Litigation & Dispute Resolution

  • Manage and oversee litigation, claims, disputes and other contentious matters involving the Company.
  • Liaise with external solicitors and legal counsel on case strategy, proceedings, negotiations and settlement matters.
  • Advise Management on dispute resolution strategies and commercial implications.
  • Manage alternative dispute resolution matters, including mediation and arbitration, where applicable.

6. Employment & HR Legal Support

  • Provide legal advice on employment-related matters, including employment contracts, disciplinary matters, workplace policies, employee benefits and termination.
  • Advise HR and Management on compliance with the Employment Act 1955, EPF, SOCSO, EIS and other applicable employment laws and regulations.
  • Review and advise on HR policies, procedures and employment-related documentation.

7. Leadership & Strategic Advisory

· Lead and oversee the Company’s legal function and ensure timely and effective legal support to relevant business functions.

· Develop a strong understanding of the Company’s business operations, commercial objectives and industry practices, and provide legal advice from both legal and business perspectives.

· Act as a strategic business partner to the Board and Management by providing practical, commercially sound and solution-oriented legal advice that supports business decisions and the Company’s objectives.

· Manage external solicitors, legal advisers, Company Secretaries and other professional service providers.

· Undertake other legal, corporate and strategic assignments as required by the Board and Management.

Requirements

· Bachelor’s Degree in Law (LL.B) or equivalent.

· Minimum 8–10 years of relevant legal experience, preferably with a combination of in-house and law firm experience.

· Experience in construction, interior design, interior fit-out or related project-based industries is preferred.

· Strong experience in commercial contract drafting, review, negotiation and contract management.

· Good knowledge of construction contracts, including PAM Contracts, subcontract agreements and project-related contractual matters.

· Strong understanding of Malaysian corporate, commercial, construction, employment and regulatory laws.

· Experience in litigation, claims, dispute resolution, mediation and/or arbitration.

· Good understanding of corporate governance, compliance and legal risk management.

· Strong analytical, negotiation, problem-solving and decision-making skills.

· Strong commercial and business acumen, with the ability to understand business operations and provide practical, business-oriented legal advice.

· Excellent communication and stakeholder management skills, with the ability to work effectively with senior management and multiple departments.

· Strong leadership, integrity, professionalism and attention to detail.

· Able to manage multiple matters independently, priorities effectively and work within tight deadlines.

· Experience in managing a legal team or legal function will be an added advantage.

· Able to work effectively in a fast-paced and demanding environment, with the ability to manage multiple priorities and work under pressure.

· Willing to work beyond normal working hours, including weekends and public holidays, when required by business needs.

Job Type: Full-time

Pay: RM10,000.00 - RM17,000.00 per month
