Company: A leading integrated biofuel producer turning waste-based feedstocks (used cooking oil, POME) into biodiesel/renewable diesel. Waste collection/renewable energy industry

Role Purpose:

Serves as the Group's primary legal adviser with end-to-end responsibility for the full spectrum of legal matters — corporate/commercial advisory, commodities trade documentation, banking/treasury, M&A, fundraising, capital markets/IPO readiness, dispute resolution, and governance/compliance. A broad, high-autonomy mandate for a commercially minded lawyer acting as a trusted business partner, expected to exercise independent judgement on complex cross-border matters and manage external counsel efficiently.

Key Responsibilities:

1. Corporate & General Legal Advisory — Principal legal contact for the Board and business units; draft/negotiate commercial agreements (supply, offtake, distribution, licensing, NDAs); advise on cross-border regulatory, sanctions, and compliance matters; manage external counsel and legal playbooks.
2. Commodities Trading & Operational Documentation — Draft/negotiate physical commodities trade contracts and confirmations; advise on Incoterms, demurrage, force majeure; review shipping/logistics docs (charterparties, bills of lading, LCs); advise on trade finance and counterparty screening.
3. Mergers, Acquisitions & Investments — Lead legal workstream across the full transaction lifecycle; draft SPAs, investment/JV agreements; coordinate due diligence; support APAC restructuring.
4. Fundraising, Treasury & Capital Markets — Support equity/debt fundraising and structured financing; negotiate bank facility and security documentation; advise on bonds/derivatives; lead IPO preparation (due diligence, prospectus verification, liaison with sponsors/underwriters/regulators).
5. Disputes, Arbitration & Litigation — Own all disputes end-to-end, including institutional/ad hoc arbitrations; advise on settlement strategy; maintain litigation/claims register.
6. Governance, Risk & Compliance — Ensure policy/governance adherence; support Board processes; develop anti-bribery, conflicts of interest, and compliance policies; deliver legal training to business teams.

Requirements:

Essential:

• LL.B or equivalent, admitted to the Singapore Bar
• Minimum 3 years' PQE (law firm and/or in-house)
• Demonstrable M&A track record — primary drafting/negotiation
• Experience in ≥2 of: equity/debt fundraising, IPO/capital markets, commercial arbitration
• Working familiarity with banking & finance documentation
• Comfortable with high-volume commercial/trade contract turnaround
• Able to work independently under pressure, deliver to transaction timetables

Preferred:

• APAC corporate restructuring experience
• In-house experience in a fast-growing, founder-led or PE-backed group
• Energy, commodities, agri-commodities, or biofuels/sustainability sector exposure
• Prior IPO involvement (SGX, HKEX, or other recognised exchange)
