About the Role
We are looking for an
experienced and detail-oriented Corporate Secretary
to manage corporate secretarial and statutory compliance matters for Singapore-incorporated companies.
The successful candidate will be responsible for maintaining accurate corporate records, managing statutory filings and deadlines, and supporting directors and management on corporate governance and compliance matters.
Key Responsibilities
Manage
day-to-day corporate secretarial and statutory compliance matters
for Singapore-incorporated companies.
Maintain and update
statutory registers, corporate records and company documentation
in accordance with applicable requirements.
Prepare and file
annual returns, statutory notifications and other ACRA filings
within the required timelines.
Prepare
directors’ and shareholders’ resolutions, notices, agendas and meeting minutes
, and maintain proper records.
Handle corporate changes including
appointments/resignations of directors, changes in shareholders and company particulars, share transfers and share allotments
.
Conduct and maintain
KYC and corporate due diligence records
, including verification and updating of relevant company, director, shareholder and beneficial ownership information.
Monitor statutory and compliance deadlines and liaise with
directors, shareholders, ACRA, auditors, accountants, banks and external service providers
as required, while maintaining confidentiality of company information.
Requirements
Diploma or Degree in
Corporate Secretarial, Business Administration, Accounting, Law or a related discipline
preferred.
2–5 years of relevant corporate secretarial experience
in Singapore.
Familiarity with
Singapore Companies Act, ACRA requirements and corporate secretarial procedures
.
Experience managing statutory filings and corporate records for
Singapore-incorporated companies
.
Strong attention to detail with good organisational and documentation skills.
Able to manage multiple statutory deadlines and work independently.
Good written and verbal communication skills.
Proficient in
Microsoft Office
and corporate secretarial systems/software.
Experience supporting
multiple companies or corporate portfolios
will be an advantage.
