POSITION : Chief Operating Officer (COO)

REPORTING TO : Chief Executive Officer (CEO)

LOCATION : Kuala Lumpur, with travel to project sites and business locations

JOB PURPOSE

The COO holds overall business and operational leadership across CGNE's divisions — Utility Solar, Commercial & Industrial (C&I) Solar, Hydro, Bioenergy and Utility Business — translating the Company's approved corporate strategy and investment plans into successfully delivered, commissioned and commercially performing energy assets, while driving the growth, profitability and operational excellence of each division. The COO provides leadership across business unit management, engineering, project management, construction, commissioning, operations & maintenance, asset management, procurement, HSE, commercial/contract management and technical governance, ensuring both the strategic growth objectives and the day-to-day operational performance of CGNE's portfolio are met.

KEY ACCOUNTABILITIES

A. Business & Divisional Leadership

• Hold overall leadership and performance accountability for CGNE's business divisions — Utility Solar, C&I Solar, Hydro, Bioenergy and Utility Business — ensuring each meets its approved growth, financial and operational targets.
• Provide unified direction and coordination across divisions, ensuring consistent standards, shared best practices and efficient allocation of resources, capital and management attention.
• Chair or co-chair management/operations committees bringing together Division and Business Unit Heads to review performance, resolve cross-divisional issues and align execution with corporate strategy.
• Deputise for the CEO on internal and external matters as required, including representing CGNE at Board, JV, regulatory or industry forums in the CEO's absence.
• Contribute to corporate strategy, business planning, M&A and investment evaluation, ensuring operational feasibility and delivery capability are properly reflected in strategic decisions.

B. Operational Leadership

• Lead CGNE's overall engineering, project execution, operations and asset management functions across all divisions.
• Translate approved corporate strategies and business plans into actionable operational and project implementation plans.
• Establish appropriate operational structures, processes, controls and performance standards across CGNE.
• Ensure clear accountability for project delivery and operational performance within each division.
• Provide timely reporting to the CEO on divisional and project performance, material risks and corrective actions.

C. Project Development & Execution

• Lead and oversee projects throughout the lifecycle: Development, Feasibility, Engineering, Procurement, Construction, Testing & Commissioning, Commercial Operation Date (COD) and Operations.
• Review project scope, technical requirements, implementation strategy, CAPEX, OPEX and schedule prior to execution.
• Establish project execution plans, milestones, budgets and resource requirements.
• Ensure projects are delivered safely, within approved budget, according to schedule and to the required technical and quality standards.
• Monitor critical paths and proactively address delays, cost overruns and technical issues.
• Lead management reviews at critical project milestones.
• Ensure effective interface management among developers, consultants, contractors, OEMs, utilities and other stakeholders.
• Ensure proper project handover from construction and commissioning to operations.

D. Energy & Infrastructure Portfolio

• Lead and oversee the development, implementation and operation of CGNE's portfolio, including hydropower and run-of-river hydro; solar PV and Large Scale Solar; Battery Energy Storage Systems (BESS); biogas and other renewable energy projects; power generation projects; grid and electrical infrastructure; energy efficiency and optimisation solutions; and other energy-transition and emerging technology projects.

E. Operations & Asset Management

• Ensure safe, reliable and efficient operation of CGNE's operating assets across all divisions.
• Establish asset management strategies to maximise availability, reliability, generation output and asset life.
• Develop preventive and predictive maintenance programmes.
• Monitor plant performance against approved technical and financial targets, including plant availability, reliability, capacity factor, generation output, plant efficiency, downtime and operating expenditure.

F. Engineering & Technical Governance

• Establish and maintain appropriate engineering and technical standards across CGNE.
• Ensure engineering designs and specifications comply with applicable regulatory requirements, codes and industry standards.
• Review and challenge major technical proposals and engineering solutions.
• Ensure proper design reviews, constructability reviews and technical risk assessments.
• Lead technical due diligence for potential acquisitions and investments.
• Ensure lessons learned from completed projects are incorporated into future project development and execution.

G. Contractor, OEM & Consultant Management

• Lead and manage the performance of EPC contractors, OEMs, engineering consultants, O&M contractors and other technical service providers.
• Establish clear performance expectations, deliverables and accountability.
• Monitor contractor performance against contractual requirements.
• Ensure timely resolution of technical and project interface issues.
• Review material variations, claims and change orders in collaboration with Commercial, Finance and Legal functions.
• Protect CGNE's contractual and commercial interests in project execution.

H. Procurement & Supply Chain

• Provide leadership for technical and project-related procurement.
• Ensure procurement strategies appropriately balance cost, quality, technical performance, reliability and delivery schedule.
• Identify and manage long-lead equipment and critical procurement packages.
• Ensure proper technical evaluation and vendor qualification.
• Develop strategic relationships with key OEMs, technology providers and suppliers.
• Ensure vendor and supplier performance is appropriately monitored.

I. Commercial & Contract Management

• Provide commercial and operational input into major project contracts, working closely with the CEO, Finance, Legal and Commercial teams.
• Support negotiation and administration of agreements including EPC, O&M, LTSA, PPA and other project-related contracts.
• Monitor contractual milestones, warranties and performance guarantees.
• Manage operational exposure to liquidated damages, contractor claims and performance shortfalls.
• Review project variations and change orders.

J. HSE & Regulatory Compliance

• Champion a strong Health, Safety, Security and Environment (HSSE) culture across CGNE.
• Ensure all projects and operating assets comply with applicable laws, regulations, licences, permits and environmental requirements.
• Ensure contractors comply with CGNE's HSE requirements.
• Monitor HSE performance and ensure incidents are properly investigated and corrective and preventive actions implemented.

K. Financial & Budgetary Management

• Hold overall accountability for the financial performance (revenue, EBITDA and cost) of CGNE's business divisions, in collaboration with the CEO, Finance and the respective Division Heads.
• Prepare and manage annual operational and project budgets in collaboration with the CEO and Finance function.
• Monitor project CAPEX and operational OPEX against approved budgets and implement appropriate cost controls.
• Identify opportunities to improve cost efficiency without compromising safety, reliability or asset performance.
• Support project cash-flow planning and financial forecasting.

L. Risk Management

• Identify and manage business, project, technical, construction, operational, contractual and HSE risks.
• Maintain appropriate project and operational risk registers.
• Develop mitigation and contingency plans for material risks.
• Escalate significant risks promptly to the CEO.
• Conduct periodic operational and project risk reviews.
• Ensure business continuity and emergency response arrangements are appropriate for CGNE's operating assets.

M. People & Organisational Leadership

• Build and lead a high-performing organisation across business, engineering, project management and operations functions.
• Ensure appropriate technical and management resources are available to support CGNE's portfolio and divisional growth plans.
• Establish clear roles, responsibilities and individual performance targets.
• Develop internal technical and business capability and organisational knowledge.
• Coach and develop future business and operational leaders, and establish succession plans for critical positions, including own succession readiness.

JOB SPECIFICATIONS

Qualifications

• Bachelor's Degree in Electrical, Mechanical, Civil or other relevant Engineering discipline.
• Postgraduate qualification in Engineering, Business Administration, Project Management or related discipline would be advantageous.
• Professional Engineer or equivalent professional certification would be an added advantage.

Experience

• Preferably 15-20 years of relevant experience in the energy, power, utility, infrastructure or related sectors.
• Significant experience in a senior general-management or leadership position, with a track record of holding P&L or business-unit accountability across multiple business lines — not solely engineering/technical delivery.
• Demonstrated experience managing major energy or infrastructure projects through development, engineering, construction, commissioning and commercial operation.
• Experience in renewable energy and/or conventional power generation would be advantageous.
