Job Purpose
To support the effective governance, administration and management of legal entities within the Engineering & Construction Division by coordinating company secretarial matters, maintaining legal entity structures, facilitating incorporation and dissolution activities, ensuring statutory compliance, and acting as the focal point between the Business, Group Legal & Governance, external company secretaries and regulatory authorities.
The role serves as the custodian of legal entity information and corporate records within the Division while ensuring governance requirements are fulfilled in a timely and compliant manner.
Key Accountabilities
1. Legal Entity Management
- Coordinate the incorporation, restructuring, reorganisation, merger, liquidation and dissolution of legal entities within the Division.
- Maintain an accurate register of subsidiaries, branches, representative offices, joint ventures and other corporate vehicles.
- Monitor legal entity status, ownership structures, directorships and governance requirements across jurisdictions.
- Track actions, approvals and milestones relating to entity lifecycle management.
- Maintain legal entity organisation charts and corporate structure records.
2. Corporate Secretarial Coordination
- Act as liaison between the Business, Group Legal & Governance, Group company secretaries and relevant authorities.
- Coordinate preparation and execution of corporate resolutions, shareholder resolutions and director resolutions.
- Ensure timely submission of statutory filings and corporate documentation.
- Monitor annual compliance obligations, statutory declarations and governance submissions.
- Maintain corporate records, registers and entity documentation in accordance with governance requirements.
3. Governance and Compliance Support
- Ensure corporate activities are conducted in accordance with applicable laws, corporate governance requirements and Group policies.
- Support implementation of governance controls relating to legal entities.
- Monitor compliance deadlines and coordinate remediation of outstanding matters.
- Escalate governance risks and non-compliance issues where appropriate.
- Support internal and external audits relating to legal entities and corporate records.
4. Corporate Restructuring and Strategic Projects
- Support business initiatives involving establishment, closure or restructuring of legal entities.
- Coordinate due diligence and information gathering required for corporate transactions.
- Assist in preparation of management papers, approval papers and Board-related submissions involving legal entities.
- Track approvals and implementation activities arising from restructuring initiatives.
- Coordinate follow-up actions with internal stakeholders and external service providers.
5. Stakeholder Management
- Engage with Business Leaders, Finance, Tax, Treasury, Legal, Risk and external advisors on legal entity matters.
- Coordinate information requests from regulators, auditors and corporate service providers.
- Ensure effective communication and progress reporting on governance and restructuring activities.
6. Reporting and Administration
- Maintain dashboards and trackers relating to legal entities, compliance obligations and restructuring activities.
- Prepare periodic updates for management on entity status, governance obligations and key risks.
- Maintain complete and accurate repository of corporate records and supporting documentation.
- Support budgeting and administration of company secretarial and regulatory service providers.
Qualifications
- Bachelor's Degree in Law, Corporate Administration, Business Administration, Governance, Accounting or related discipline.
- Professional qualification from MAICSA/CGI (preferred) or equivalent governance qualification is an advantage.
Experience
- 5-8 years' experience in company secretarial, governance, legal entity management or corporate administration roles.
- Experience coordinating multinational legal entities will be an advantage.
- Exposure to corporate restructuring, entity incorporation and liquidation activities is preferred.
- Experience working with external company secretaries, regulators and legal advisers.
