Job Description

Responsibilities

Our client is hiring a Legal Counsel who is proactive and detail-focused to support their expanding team.

The ideal candidate will possess hands-on experience in overseeing the complete lifecycle of commercial contracts, and corporate compliance and regulatory matters. This position presents an excellent opportunity to play a key role in a fast-paced, innovation-led technology start-up.

The responsibilities of this role are:

  • Provide practical day-to-day legal support to business, HR, finance, supply chain, and sales teams in Singapore and across multiple jurisdictions.
  • Draft, review, and negotiate a broad range of commercial agreements, including NDAs, procurement and vendor contracts, software licensing, distribution agreements, and hardware/service contracts.
  • Support corporate governance matters, including preparation of board resolutions, coordination with corporate secretaries, and ongoing subsidiary maintenance.
  • Advise HR on employment-related matters such as contract drafting, probation and termination processes, workplace investigations, confidentiality and IP assignments, and PDPA compliance for employee data.
  • Oversee data protection compliance (PDPA/GDPR), review SaaS/data-processing clauses, and support cross-border data governance initiatives.
  • Develop, update, and maintain internal compliance policies, including those related to data protection, contract governance, export control and internal controls.
  • Work with external counsel to manage cross-border employment issues, intellectual property protection, dispute management, and compliance with local regulatory requirements, including interactions with government authorities.
  • Support risk management efforts and develop essential legal templates and workflows (e.g., contract processes, compliance policies, data protection documents).
  • Deliver legal training to internal teams on contract fundamentals, data privacy, export control compliance and related topics.
  • Conduct KYC/AML checks and establish compliance procedures to support regulatory requirements.

The ideal candidate will need to have the following qualities and experience:

  • Bachelor’s Degree in Law (LLB) from a recognized university.
  • Minimum 5 years of relevant legal experience with hands-on exposure to commercial, corporate, employment, and compliance matters; experience in the technology sector is preferred.
  • Prior familiarity with industries such as AI infrastructure, cloud computing, or data center operations will be an advantage.
  • Demonstrated experience drafting and negotiating commercial contracts, particularly those involving technology products and services.
  • Excellent communication, analytical, and negotiation skills, with the ability to operate independently in a fast-paced, cross-border environment.
