We are seeking an experienced and proactive Compliance Manager to oversee the Company's compliance, regulatory and corporate governance matters.
The Compliance Manager will be responsible for overseeing the Company's regulatory compliance and licensing obligations, including applicable laws, regulations, Bursa Malaysia Listing Requirements, licences, permits, registrations, certifications and regulatory approvals.
The role will work closely with the General Manager, Legal Associate, Company Secretary, management and relevant business units to ensure that the Company's regulatory, corporate governance and compliance obligations are properly identified, monitored and fulfilled.
The role will also cover ESG and sustainability, data protection/DPO, internal audit and contract management, while providing support to the Legal Associate on tenders, contracts and other legal documentation as and when required.
The Compliance Manager will supervise and guide the Compliance Officer in carrying out day-to-day compliance activities.
Key Responsibilities
1. Compliance Framework, Risk & Governance
- Develop, implement and maintain the Company's compliance framework, policies, procedures and internal controls, ensuring alignment with applicable laws, regulations and regulatory requirements.
- Develop and implement risk-based compliance monitoring and review programmes, and identify and assess compliance risks, control weaknesses and potential breaches.
- Monitor compliance findings, incidents and corrective/preventive actions, and ensure timely remediation and closure.
- Maintain appropriate compliance registers, records, risk assessments and remediation trackers.
- Provide recommendations to management to strengthen the Company's compliance framework, controls and processes, and prepare relevant compliance reports and updates for management and governance committees.
2. Bursa Malaysia Listing Requirements
- Oversee and ensure the Company's compliance with the Bursa Malaysia Listing Requirements and other applicable requirements for listed companies.
- Maintain the Company's Bursa compliance calendar, obligation matrix and relevant regulatory records, including applicable reporting, disclosure, filing and approval requirements.
- Monitor corporate activities and transactions for potential Bursa, regulatory, disclosure or approval requirements, and coordinate with the Legal Associate, Company Secretary, Finance and relevant business units where necessary.
- Monitor amendments and regulatory developments relating to the Listing Requirements and coordinate the necessary follow-up actions.
- Identify, manage and escalate potential Bursa, regulatory or compliance risks and non-compliance matters to management.
3. Corporate Secretarial & Corporate Governance
- Oversee the Company's corporate secretarial, statutory and corporate governance compliance requirements, in coordination with the appointed Company Secretary.
- Coordinate statutory filings, annual returns, corporate information updates and other applicable statutory and regulatory submissions.
- Oversee the maintenance and updating of statutory and corporate registers, including share/member registers and other relevant statutory records.
- Monitor corporate governance requirements and ensure relevant corporate approvals, resolutions and filings are properly coordinated and maintained.
- Support the implementation and continuous improvement of appropriate corporate governance practices and processes.
4. Internal Audit
- Coordinate and support the Company's outsourced Internal Auditor in the planning and execution of internal audit activities.
- Coordinate the provision of information and documentation required for internal audit assignments.
- Monitor internal audit findings and management's implementation of corrective actions.
- Maintain an internal audit findings and remediation tracker and report significant or overdue matters to management.
- Support the Company's longer-term plan to develop and transition towards an in-house Internal Audit function, including the development of appropriate processes, methodologies and resources.
5. ESG & Sustainability
- Lead and oversee the Company's overall ESG and sustainability function, including the development, implementation and continuous improvement of the Company's ESG framework, policies and initiatives.
- Monitor and ensure compliance with applicable ESG, sustainability and Bursa Malaysia reporting and disclosure requirements.
- Coordinate with relevant business units and stakeholders to collect, verify and consolidate ESG data and information required for reporting and disclosures.
- Lead the preparation, compilation and coordination of the Company's Annual Financial Report, including the relevant ESG, sustainability and corporate governance disclosures, ensuring that the required information is accurate, complete and submitted within the applicable timelines.
- Coordinate with the Legal Associate, Finance, Company Secretary, external advisers, auditors/assurance providers and other relevant stakeholders in the preparation and finalisation of the Annual Financial Report.
- Monitor ESG-related risks, regulatory developments and reporting requirements and recommend appropriate actions to management.
6. Data Protection / DPO
- Act as one of the Company's designated Data Protection Officers (DPOs) and support the implementation and maintenance of the Company's personal data protection and privacy framework.
- Monitor and ensure compliance with applicable personal data protection, privacy and data governance requirements.
- Develop, review and implement data protection policies, procedures, notices, guidelines and internal controls.
- Coordinate data protection compliance assessments, reviews and remediation activities across relevant business units.
- Manage and support the handling of personal data incidents, data breaches, data subject requests, complaints and regulatory matters, in coordination with the Legal Associate and relevant stakeholders.
- Promote data protection awareness and training and maintain appropriate records relating to the Company's DPO and data protection activities.
7. Contract Management, Licensing & Legal Support
- Oversee the Company's contract management function, including maintaining the contract repository and monitoring key contractual obligations, renewal dates, expiry dates and other contractual milestones.
- Maintain the Company's licensing and regulatory compliance register, including licences, permits, registrations, certifications and other applicable approvals, and monitor the relevant renewal, submission and maintenance requirements to ensure timely compliance.
- Support the Legal Associate in reviewing tenders, contracts, agreements, NDAs and other legal documentation as and when required.
- Assist in identifying legal, contractual, regulatory and compliance risks arising from business arrangements, tenders and contracts.
- Coordinate with relevant stakeholders, regulatory authorities, external parties and advisers on licensing, contractual, regulatory and compliance matters as required.
8. Team Management & Ad-Hoc Responsibilities
- Supervise, guide and provide direction to the Compliance Officer in carrying out day-to-day compliance activities.
- Review compliance reports, registers, monitoring results and other work prepared by the Compliance Officer.
- Develop the Compliance Officer's knowledge and capabilities through appropriate guidance and supervision.
- Work collaboratively with Legal, Finance, HR, Company Secretary, Internal Audit and other relevant functions.
- Undertake other compliance, governance, regulatory, corporate or legal-support assignments as may be assigned by the General Manager or management from time to time.
Requirements:
- Education & Professional Qualifications
- Bachelor’s degree in Law, Corporate Governance, Risk Management, Compliance or a related discipline.
- Professional qualifications in compliance, corporate governance, risk management, internal audit, data protection or related fields will be an advantage.
Experience
- Minimum 5 years of relevant experience in compliance, corporate governance, legal, risk management, internal audit or a related field.
- Experience working with a Bursa Malaysia listed company, public listed company or regulated industry will be an advantage.
- Experience in regulatory compliance, licensing, corporate secretarial coordination and compliance monitoring.
- Experience or working knowledge in ESG, personal data protection/DPO and internal audit matters.
Pay: RM8,000.00 - RM10,000.00 per month
