About the Role

We are seeking a commercially minded and detail-oriented Legal Counsel to support the Group’s corporate, transactional, and commercial activities. The role will have a strong focus on corporate structuring, corporate finance, mergers and acquisitions, investments, and other strategic transactions, including conducting legal due diligence and drafting, reviewing, and negotiating transaction documents. The successful candidate will work closely with senior management and business teams across the Group, providing practical legal advice throughout the lifecycle of transactions and supporting the Group’s broader commercial and strategic initiatives.

Key Responsibilities

• Advise on corporate transactions, M&A, investments, joint ventures, corporate restructurings and financing arrangements.
• Draft, review and negotiate transaction and commercial agreements, including share/asset purchase agreements, subscription agreements, shareholders' agreements, joint venture agreements, financing documents and other commercial contracts.
• Conduct and coordinate legal due diligence for acquisitions, investments and other corporate transactions, and identify material legal and commercial risks.
• Advise on corporate structures, equity and debt financing arrangements, shareholder rights and corporate governance matters.
• Support transaction execution, including conditions precedent, corporate approvals, completion and post-completion matters.
• Provide general legal advice and support across the Group on corporate and commercial matters.
• Manage and coordinate with external legal counsel, company secretaries, financiers and other professional advisers where required.

Requirements

• Bachelor’s degree in Law (LLB or equivalent).
• 3–6 years of relevant legal experience, preferably in corporate/M&A, corporate finance or general corporate practice.
• Strong experience in drafting and negotiating corporate and commercial agreements.
• Experience conducting corporate legal due diligence for M&A or investment transactions.
• Good knowledge of Malaysian corporate and contract law, including the Companies Act 2016.
• Strong commercial judgment, analytical ability and attention to detail.
• Excellent drafting, negotiation and communication skills.
• Proactive, adaptable and able to manage multiple matters in a fast-paced environment.
• High integrity, professionalism and ability to handle confidential information.
