Key Responsibilities
Governance & Statutory Compliance (Primary Accountability)
- Act as the appointed Company Secretary for assigned entities.
- Review and approve board resolutions, minutes, Annual Returns (AR), Financial Statements, and MBRS submissions before lodgement.
- Ensure timely compliance with all statutory and regulatory requirements, including corporate filings and Beneficial Ownership (BO) reporting.
- Handle complex task such as strike-off, winding-up, Extension of Time (EOT) applications, and late lodgements.
Advisory & Board-Level Support
- Provide professional advice to directors on corporate governance, restructuring, share transactions, and compliance matters.
- Attend board meetings when required and support governance processes.
- Respond to statutory and regulatory queries from directors and provide practical compliance guidance.
Quality Assurance & Risk Management
- Ensure high accuracy in all submissions with minimal errors..
- Manage queries and issues raised by SSM efficiently.
- Maintain strong internal controls and compliance standards.
Leadership & Technical Oversight
- Lead, mentor, and develop team members to strengthen technical competencies.
- Review and verify team output prior to submission.
- Prepare the team for audits, inspections, and regulatory reviews.
Cross-Functional Collaboration
- Work closely with the Client & Operations Manager to plan workloads and prioritise assignments.
- Support escalation of technical issues and provide clarification on complex client matters.
Specialised & Value-Added Expertise
- Experience in managing registrations and compliance matters involving:
- Construction Industry Development Board Malaysia (CIDB)
- Ministry of Finance (MOF) e-Perolehan
- Companies Limited by Guarantee (CLBG)
- Trademark registrations
Job Requirements
- Bachelor’s Degree in Law, Business, Corporate Administration, or related field.
- Licensed Company Secretary registered with SSM (MAICSA, LS, MIA, or equivalent).
- Minimum 7 years of relevant experience, including at least 2 years in a managerial role.
- Strong knowledge of Companies Act 2016 and relevant regulatory requirements.Requirements (where applicable), and other regulatory frameworks.
- Excellent communication, organisational, and problem-solving skills.
- High attention to detail and ability to manage confidential information professionally.
- Able to work independently and manage multiple deadlines.
- Proficient in Microsoft Office and company secretarial systems such as MBRS and MYCOID.
- Experience in legal documentation is an added advantage.
- Familiarity with the COMSEC S2000 system will be an added advantage.
Pay: RM5,000.00 - RM6,000.00 per month
