We are seeking a commercially driven individual with strong M&A fundamentals to lead origination, business development and transaction execution activities, with a focus on Malaysia and Indonesia.

The role supports the Group Head of Corporate Development in delivering the Group’s strategic growth initiatives, including identifying, evaluating and executing acquisitions, partnerships and new platform opportunities across priority markets.

This includes responsibility across the full deal lifecycle, from building relationships and sourcing opportunities through to deal evaluation, negotiation and transaction execution, as well as engagement with senior internal stakeholders and external advisors.

Responsibilities

• Source, evaluate and execute acquisition, partnership and market expansion opportunities across Malaysia and Indonesia
• Build and manage a pipeline of opportunities aligned with XCL Education’s strategic priorities through proactive market mapping, relationship building and opportunity sourcing
• Lead commercial, financial and strategic assessment of potential transactions and provide recommendations to support decision-making
• Lead end-to-end execution of M&A transactions, including due diligence, structuring and negotiation, in close coordination with internal stakeholders and external advisors
• Prepare and present investment cases for internal approval processes
• Oversee post-transaction integration and value realisation initiatives
• Support the Group Head of Corporate Development on broader corporate development initiatives across priority markets, both existing and new
• Manage, mentor and develop junior members of the team

Requirements

• Strong M&A fundamentals gained through corporate development, investment banking, M&A advisory, investments, transaction-related business development or other relevant commercial roles
• Demonstrated ability to source and develop opportunities, build relationships and progress opportunities towards execution
• Demonstrated experience across transaction processes, including evaluation, financial modelling, due diligence, structuring, negotiation and execution
• Strong financial modelling, valuation and deal structuring capability
• Strong commercial judgement with the ability to translate complex analysis into clear, commercially focused insights
• Strong interpersonal, communication and stakeholder management skills
• Ability to engage and build relationships with senior stakeholders, including C-suite management, founders/owners and investors
• Experience preparing investment materials and engaging with executive-level stakeholders
• High level of initiative, with the ability to work independently and manage multiple priorities/workstreams while balancing strategic thinking with hands-on execution

Preferred Experience

• Experience across both advisory (e.g. investment banking, Big Four, boutique M&A) and investment or in-house corporate development or business development roles
• Experience in Southeast Asia with relevant networks, particularly in Malaysia; exposure to Indonesia is advantageous
• Exposure to K-12 education, real estate/property development or other asset-heavy or regulated sectors
• Understanding of legal, tax and regulatory considerations relevant to transactions
