About the Role

The role involves drafting and negotiating a wide range of commercial contracts, advising on legal, commercial, operational, advertising, intellectual property, employment, data protection and technology matters, managing disputes, and supervising external lawyers, while supporting agencies across multiple jurisdictions in a high transactional environment.

Responsibilities

• Drafting and negotiating client / agency agreements, Master Services Agreements, Statements Of Work, letter of intent, memoranda of understanding, NDAs etc.
• Identifying legal, commercial, and operational risks associated in each commercial contract and taking appropriate steps to resolve and mitigate the risks.
• Advising the agencies on risks associated with contracts and working with Data Privacy counsel to advise on data privacy related risks.
• Advising on compliance with advertising standards and regulations.
• Advising on copy clearance and general clearance of advertising and promotion materials, social media campaigns and developing guidelines.
• Advising on intellectual property rights (IPR), and protection of IPR.
• Advising on agreements with artists, freelancers, photographers, animators and other third parties and carrying out negotiations with such third parties.
• Assisting with corporate secretarial services.
• Advising on employment related matters.
• Reviewing and negotiating media buying agreements and other standard terms and conditions of business.
• Advice in relation to licensing of third-party information and data systems.
• Reviewing and negotiating technology development and digital marketing agreements.
• Advising on data protection compliance, data security and standard terms and conditions of website us.
• Advising on third party license agreements and content contribution.
• Dispute management and resolution.
• Supervising external lawyers on litigation and company secretarial function.

Qualifications

• Singapore qualified lawyer with 8 – 10 years PQE at a reputable firm or as an in-house Legal Counsel.

Required Skills

• Fluent oral and written English, additional regional languages are a plus.
• Experience in advertising, marketing and/or technology is preferable.
• Experience in identifying legal, commercial, operational risks associated in each commercial contract and taking appropriate steps to resolve and mitigate the risks.
• Experience in negotiating client and vendor contracts and taking them to closure independently.
• Solution-oriented, high level of commitment, excellent communication and team skills.
• Strong attention to detail within a high transactional environment across multiple agencies.
• Ability to communicate in both written and oral form to ensure queries are understood and resolved within timeframes.
• Ability to influence stakeholders on process improvement and change.

Preferred Skills

• Additional regional languages are a plus.
• Experience in advertising, marketing and/or technology is preferable.
