Manager, Company Secretarial Services (Head of Desk) | Singapore
We are supporting an established international fiduciary and corporate services group as it grows its Singapore office. They are looking for a Company Secretarial Manager to lead the Singapore corporate secretarial desk. The role is broad: you will look after a portfolio of client companies, act as Company Secretary for the firm itself, and act as the office's Registered Qualified Individual, so you will own the quality and compliance of the desk's work.
What you will do
- Manage a portfolio of Singapore client companies, acting as named Company Secretary where appointed, and keep them compliant with the Companies Act and ACRA requirements.
- Handle the full corporate secretarial cycle: incorporations, AGMs, directors' and shareholders' resolutions, share allotments and transfers, changes in officers, amendments to constitutions, and strike-off applications. This includes drafting and lodging ACRA filings, keeping statutory registers and records, and tracking deadlines.
- Advise clients on routine corporate governance and statutory compliance, and work with auditors, banks, tax agents and regulators.
- Act as Company Secretary for the firm: coordinate board meetings, prepare agendas, minutes and resolutions, and support management on governance policies.
- As the Registered Qualified Individual, oversee client acceptance and service standards, review and approve incorporations and significant corporate actions, support regulatory inspections, guide and train the team, and keep procedures up to date as regulations change.
- Lead client onboarding and KYC/CDD/EDD reviews (UBOs, source of funds and wealth, sanctions, PEP and adverse media screening), assess risk ratings, recommend whether to accept clients, run periodic reviews, and escalate high-risk matters to the Compliance Officer.
What you will bring
- Solid hands-on experience in Singapore company secretarial work, ideally within a corporate services provider, managing your own client portfolio.
- Eligibility to register as an ACRA Registered Qualified Individual, for example as a CSIS associate or fellow, a Singapore advocate and solicitor, a public accountant, or a member of ISCA, AIA (Singapore) or ICA Singapore. You do not need to be registered today, but you will need to qualify.
- Working knowledge of KYC, CDD and AML/CFT onboarding and ongoing monitoring.
- Sound judgement on governance and compliance matters, and the ability to manage many deadlines and stakeholders at once.
Advantageous
- Current registration as a Qualified Individual.
- Experience acting as named Company Secretary for client or group entities.
Why consider it
You will run the Singapore corporate secretarial desk end to end, as the firm's own Company Secretary and its Qualified Individual, in an office that is growing. It suits a corporate secretarial professional who is ready to take ownership of a desk rather than a portfolio alone.
