About the Opportunity

We are seeking a Corporate / M&A Lawyer to join the in-house legal team of a well-established organisation in the oil & gas industry in Malaysia.

This is a contract opportunity suited to lawyers currently in private practice who are keen to gain in-house exposure, or in-house counsel with relevant corporate and M&A experience.

The successful candidate will have the opportunity to work on corporate transactions and collaborate with internal business stakeholders and external legal advisers.

Key Responsibilities

• Provide legal advice and support on mergers and acquisitions (M&A), investments, divestments and other corporate transactions.
• Draft, review and negotiate transaction documents, including Share Sale and Purchase Agreements (SPA), Shareholders' Agreements, Joint Venture Agreements, NDAs and other corporate agreements.
• Conduct and coordinate legal due diligence exercises, identify potential legal risks and recommend appropriate mitigation measures.
• Assist in structuring, negotiating and executing corporate transactions.
• Advise internal stakeholders on corporate and commercial legal matters arising from business transactions.
• Liaise with external legal counsel and relevant stakeholders throughout the transaction process.
• Ensure transactions comply with applicable laws, regulations and internal corporate policies.

Key Requirements

• Bachelor's Degree in Law (LLB) or equivalent recognised qualification.
• Experience in Corporate / M&A practice, preferably at the Associate or Senior Associate level.
• Hands-on experience in M&A transactions, particularly legal due diligence, transaction documentation and negotiations.
• Strong drafting, analytical and communication skills.
• Ability to work independently and manage multiple assignments within tight deadlines.
• Candidates currently in private practice or in-house legal roles are welcome to apply.
• Must be available to commence within approximately 1 month's notice or earlier.
